Greenberg Traurig advised Auchan Polska and Ceetrus in connection with the preliminary agreement to sell a retail portfolio of eight shopping centres located across Poland to Adventum Penta Fund SCA SICAV-RAIF, a Hungarian investment fund.
This portfolio deal, structured as a sale-and-leaseback transaction, is one of the largest real estate transactions in Poland in 2025. Auchan will remain the anchor tenant of the retail assets under a 15-year lease with guaranteed options for further extension.
The Greenberg Traurig team was led by Partner Karol Brzoskowski, Counsel Filip Janeczko and Senior Associate Mateusz Rydzewski. The team also included Associate Tomasz Drzewiecki and Junior Associate Przemysław Susoł.
Local Partner Maciej Kacymirow and Senior Associate Mateusz Rogulski advised on the tax aspects of the transaction. Associate Paweł Fortuna advised on the competition aspects of the deal.

Ceetrus’s real estate portfolio is worth over €8 billion and covers nearly 20 million sqm. It comprises almost 300 commercial properties and 50 development projects in 10 countries. The company entrusts Nhood, its service company, with managing its assets to revitalise, regenerate, and transform its properties.
Adventum Penta Fund SCA SICAV-RAIF is part of the Adventum Group, a Hungarian capital group that manages investment funds focusing on real estate assets in Central and Eastern Europe. The group currently owns over 700,000 sqm of commercial and office real estate. The group manages real estate in Poland, Slovakia, the Czech Republic, Hungary, and Romania.
